Terms of Use
Last updated October 14, 2026. Previous version: October 10, 2026
These terms are an agreement between you and RightNow AI, Inc. about your use of our website, our API and its console, and RightNow Agent. By using any of them you agree to these terms. If you use the services for an organization, you agree for it and confirm that you may. If you do not agree, do not use the services.
1. Who we are
We are RightNow AI, Inc. (“RightNow”, “we”, “us”), a company registered in Delaware, United States, at 131 Continental Dr, Newark, DE 19713, US. You can reach us by email at jaber@rightnowai.co or by mail at that address.
Our Privacy Policy explains how we handle personal information, and it is part of these terms.
2. The services
- Our API, which serves our decision model. You call it with keys you create in its console at www.rightnowai.co/dashboard, which also has a Playground. Both are in a private preview (section 3).
- Our website, www.rightnowai.co, with our research, docs and blog, and its contact forms.
- RightNow Agent, our coding agent for the terminal. It is paused: our website no longer shows how to install it, but copies already installed keep working under these terms.
RightNow Agent runs on your own machine. It supports Windows x64 and ARM64, macOS on Apple Silicon and Intel, and Linux x64 and ARM64. It can read, search, edit and create files in your project, run commands as your permission settings allow, and search or fetch the web when the model uses those tools. These tools run on your machine. It sends model requests to the provider selected in your configuration.
RunInfra, RightNow's open models platform, is a separate service with its own terms at runinfra.ai. These terms do not cover it.
The services are not built to meet rules such as HIPAA, FISMA or GLBA, so do not use them for information that those rules protect. Do not send special categories of personal data, such as health, genetic or biometric data, or personal data about children, unless a signed agreement with us allows it.
3. The preview
The API and its console are in a private preview. Access is by invitation, and we may decline or end it. Features, models, limits and availability can change, pause or end at any time. The targets we work toward are not commitments, and there is no service level agreement during the preview.
After a quiet period the model may need several minutes to start, and requests refused in the meantime say when to retry. A request above a limit is refused with an error that names the limit. The console shows your keys' limit per minute and your workspace's limit on calls at once.
4. Accounts and workspaces
Signing in. You sign in to the console with Google, with GitHub or with your email address. The API and the console are for business and developer use, and you must be 18 or older, or the age of majority where you live if that is higher. Keep that account and your mailbox secure: you are responsible for what happens under your sign-in. Tell us at once if you think someone used your sign-in or your keys without permission.
Workspaces. Everything in the console belongs to a workspace, with its own keys, usage, limits and billing. Everyone who uses the console has at least one, and you can create more within our limits; the console tells you when you reach a limit. Do not create workspaces or accounts to get around a limit.
Roles. Each member of a workspace has a role: owner, admin or member. Owners control the workspace, including its members and roles, its billing and its deletion, and a workspace always keeps at least one owner. The console shows each member's role.
Invitations. Owners and admins can invite people by email. An invitation works once, expires after 7 days, and can be accepted only by someone who has verified the invited email address, through Google, GitHub or a sign-in link or code sent to it.
Owners answer for their members. If you own a workspace, you are responsible for the people you let into it and for what they do there, and you confirm that you may share the workspace's information with them. Members can see each other's email addresses.
5. API keys
API keys are secrets. Anyone who holds one of your workspace's keys can use the API as that workspace, and the usage counts against it. The workspace's owners are responsible for every use of its keys.
- A key is shown once, when it is created. Keep it out of browser code, public repositories and shared files.
- Revoke a key that may have been exposed. A revoked key is normally refused within a minute, and within 15 minutes if our systems fail at the same moment.
- When a member leaves a workspace or is removed, the keys and open invitations that member created there are revoked.
- Do not share, sell or transfer keys outside your workspace.
6. Acceptable use
You may use the API in your own products and call it from your own software and automated systems, including for commercial purposes, as these terms allow. You must not, and must not help anyone to:
- break the law, or use the services to harm, harass, deceive or discriminate against people;
- probe, scan or test the security of the services, or get around their limits, authentication or blocks, unless we agree in writing;
- load test the services, unless we agree in writing;
- try to extract the model's weights, parameters or training data, or reverse engineer the services, except where the law, or an open source license that covers that software, allows it;
- use outputs to develop or train a model that competes with our models;
- resell or share access to the services, or offer them as your own hosted service, without a written agreement with us;
- send malware, or content that you have no right to send;
- copy the website in bulk with bots or scrapers, beyond normal browsing and search engine indexing.
We may suspend or block a key, a workspace or an account as section 12 describes.
7. Fees and payment
No charge yet. We do not charge for the API yet, and the console takes no payment. Each workspace can make up to a set number of answered decisions each calendar month in UTC, Playground runs included; past it, calls are refused until the next month, with an error that names the limit (section 3). Before we charge for anything, we will change these terms as section 17 describes.
Enterprise. A separate written agreement with us can set other terms. Where a signed agreement with us differs from these terms, the agreement governs.
8. Your content
Your content is what you send to the services, such as the context (the state), questions and attachments of a request, and the messages you send us. You keep all your rights in it.
You give us a worldwide, non-exclusive license to host, copy, transmit and process your content only to provide, secure and support the services for you. How we handle it, and how long we keep it, is in our Privacy Policy.
No training. We never use your content, or the outputs you receive, to train our models or any other model.
You confirm that you have the rights and permissions needed to send your content, including for any personal information about others in it, and that sending it does not break the law or these terms.
Feedback. If you send us ideas or feedback, we may use them freely, without any obligation to you.
Code and RightNow Agent. You keep all rights in your code. RightNow Agent sends your prompts and the relevant code to the model provider you configure, which handles them under its own terms, and its web search and fetch tools contact the search service and the sites involved. It also uses the MCP servers and hooks set up on your machine or in a project you open, including those it picks up by default from Claude Code or Cursor. Each receives the calls and events it handles.
9. Outputs
Important: The API's decisions and confidence scores are probabilistic estimates, not facts. Check them before you rely on them, and use human judgment wherever a decision matters.
Outputs are what the API returns, including decisions, probabilities, confidence scores and refusals. They can be wrong, including when the confidence is high.
- Do not use an output as the only basis for a decision with legal or similarly significant effects on a person, such as a decision about lending, employment, housing, insurance, education, health care or legal status.
- Instructions hidden in content you send, for example in a document or an image, can change the answers. Treat content from sources you do not trust with care.
- Results we publish about our models describe the tests we ran. They are not a promise about your use.
As between you and us, you own the outputs you receive, to the extent the law allows. Others may receive similar outputs for similar requests.
RightNow Agent's output comes from the model provider you select and can be wrong. You are responsible for reviewing each command or change it proposes before you approve it. You are also responsible for the effects of what you approve or let it run under your permission settings, and of the MCP servers and hooks it uses. Its receipts and exit codes report what it checked or recorded; they do not guarantee the result.
10. Confidentiality
We treat your content as confidential, and use and disclose it only as these terms and our Privacy Policy allow.
If we share non-public information about the services with you, such as unreleased features or documents marked confidential, keep it confidential and use it only to evaluate or use the services.
Neither duty covers information that becomes public through no fault of the side that received it, or that the law requires to be disclosed.
11. Our rights
We own the services, our models, the website and its content, and our names and logos, apart from content and software that belong to others. We give you a limited, non-exclusive, non-transferable and revocable license to use the services under these terms, and we keep all rights we do not grant.
Open source. RightNow Agent includes software that others wrote, such as code under the Apache License 2.0. Those licenses govern those parts, and nothing in these terms limits what they allow you to do.
You may read our research, docs and blog, link to them and quote them with attribution, unless a page gives other terms. Do not republish them in bulk or present them as your own.
12. Suspension and ending
You can stop at any time. To end a workspace, an owner chooses Delete workspace in the console's Settings after signing in again; this ends the workspace, not your sign-in. The workspace is then scheduled for deletion. Its keys stop working, normally at once. For 30 days an owner can restore it. A restore brings the workspace back, but not its API keys: they stay revoked, and you create new ones. After the 30 days we delete the workspace and its data as our Privacy Policy describes. To close your sign-in as well, email us.
We can suspend or end access to all or part of the services, including a key, a workspace or an account, if you break these terms, if your use puts the services or others at risk, if the law requires it, or when we discontinue a service. Where we can, we tell you first and why; for a serious breach or a security risk we may act at once.
Suspending a person also suspends the workspaces they alone own, and while the suspension stands we refuse any new sign-up with an email address verified for that person. Those workspaces are deleted 30 days later, or when we delete that person's sign-in identity if that comes first, unless we lift the suspension before then. If we end your access, you can still ask us to delete your data, as the Privacy Policy describes.
Everything in these terms that by its nature should outlast them continues to apply after they end, including amounts owed, confidentiality, the disclaimers, the limits of liability, the indemnity and the choice of law and courts.
13. Disclaimers
The services are provided as is and as available. To the extent the law allows, we disclaim all warranties, express or implied, including the warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the services will be uninterrupted, secure or free of errors, or that any output will be correct. We are not responsible for services that others run, such as Google, GitHub or a model provider you select. RunInfra is covered by its own terms, not by these.
14. Limitation of liability
To the extent the law allows, neither we nor our directors, employees or agents are liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue or data, arising from the services or these terms, even if we were told they were possible. Our total liability for all claims about the services is limited to the greater of the amount you paid us for the services in the 6 months before the claim and 100 US dollars.
Some laws do not allow these limits. Where such a law applies to you, the limits apply only as far as it allows.
15. Indemnity
You will defend and indemnify us, and our directors, employees and agents, against claims by others arising from your content, your use of outputs, your use of the services in breach of these terms, or your breach of the law or of someone else's rights. This covers the losses and reasonable legal costs that come with those claims. We will tell you about such a claim promptly, and we may take over its defense at your cost. If you use the services as a consumer, this section applies only as far as the law allows.
16. Governing law and courts
These terms and your use of the services are governed by the laws of the State of Delaware, without regard to its conflict of law rules.
You agree that the courts of the State of Delaware, United States, decide all disputes about these terms or the services, and you submit to their jurisdiction. We may also bring proceedings in the courts of the country where you live or, if you use the services for your business, where your business is based.
If you use the services as a consumer, nothing in this section takes away the protection that the mandatory laws of the country where you live give you, or your right to bring a claim in its courts.
17. Changes to these terms
We may change these terms. We post every change on this page with a new date. If a change is material, we will tell console users by email or show a notice on the website at least 30 days before it takes effect. If you keep using the services after a change takes effect, you accept it; if you do not agree, stop using them and delete your workspaces.
18. Other terms
- Electronic notices. We may give you notices, agreements and other communications electronically, by email or in the services, and they satisfy any requirement to be in writing.
- Export and sanctions. You may not use the services where United States export control or sanctions laws forbid it, or if those laws restrict you.
- California users. If a complaint is not resolved with us, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
- Whole agreement. These terms, with our Privacy Policy and any written agreement with us, are the whole agreement between us about the services.
- If a term fails. If a part of these terms cannot be enforced, the rest still applies.
- No waiver. If we do not enforce a term, we do not waive it.
- Transfer. You may not transfer these terms without our consent; we may transfer them to a successor or an affiliate.
- Events beyond our control. We are not liable for delays or failures caused by events beyond our reasonable control.
- No partnership. These terms create no partnership, employment or agency relationship.
